These Terms & Conditions ("Terms") govern your access to and use of the Solstice software product, website, and related services (collectively, the "Services") provided by Cameron Thomas, trading as Minuit ("Company", "we", "us", or "our"), a UK sole trader.
By accessing our website, purchasing our products, or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
1. Purchase and Payment
- 1.1 All purchases are processed through our authorized payment processor, Paddle.com Market Ltd. ("Paddle"), who acts as our Merchant of Record.
- 1.2 Paddle handles all payment processing, billing, and sales tax/VAT compliance on our behalf.
- 1.3 Prices are displayed in the currency appropriate to your location and include all applicable taxes.
- 1.4 By making a purchase, you agree to Paddle's Terms of Use and Privacy Policy in addition to ours.
2. License Grant
Upon successful payment, we grant you a non-exclusive, non-transferable license to use Solstice in accordance with our End User License Agreement (EULA). Please review the EULA for detailed licensing terms.
3. Refund Policy Summary
We offer refunds for software defects that substantially impair functionality, provided:
- The issue is reported within 30 days of purchase
- Your system meets our published compatibility requirements
- Our support team cannot resolve the issue
Full refund terms are detailed in our EULA. Refund requests should be directed to info@minuit.am with proof of purchase and a description of the issue.
4. Intellectual Property
All content, features, and functionality of our Services, including but not limited to software, text, images, graphics, logos, and code, are owned by Cameron Thomas/Minuit and protected by international copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or republish any of our proprietary material without prior written consent.
5. User Obligations
You agree to:
- Provide accurate and complete information when making purchases
- Use the software only for lawful purposes
- Not reverse engineer, decompile, or disassemble our software
- Not share or distribute license keys
- Comply with all applicable laws and regulations
6. Limitation of Liability
6.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CAMERON THOMAS/MINUIT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
6.2 Our total liability shall not exceed the amount paid by you for the product giving rise to the claim.
7. Indemnification
You agree to indemnify and hold harmless Cameron Thomas/Minuit from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of our Services or violation of these Terms.
8. Modifications
We reserve the right to modify these Terms at any time. Material changes will be notified via email or website notice. Continued use of our Services after changes constitutes acceptance of the modified Terms.
9. Termination
We may terminate or suspend your access to our Services immediately, without prior notice, for any breach of these Terms or the EULA.
10. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
